Parties, authority, and acceptance

[MARKETPLACE OPERATOR LEGAL NAME] operates GatorBid Auction Marketplace and is referred to as GatorBid, we, us, or our. Our legal-notice mailing address is [LEGAL NOTICE MAILING ADDRESS].

These terms supplement the Terms of Use for the seller, auction-company, consignor, or staff activities you undertake. A representative submitting a company application must have authority to accept for that company. Staff accepting an invitation agree to the obligations relevant to their authorized role; an invitation does not by itself authorize them to sign a separate company finance agreement.

A consignor who works only through an auction company is also subject to the agreement made with that company. A listing does not establish that a consignor personally accepted a marketplace agreement. Separate signed agreements and auction terms have the priority described in the Terms of Use.

Listing and sale responsibilities

  • Have the right and necessary authority to list and sell each item. Provide accurate descriptions, authorized media, material condition disclosures, and any required restrictions, permits, licenses, and seller information.
  • Publish the applicable reserves, buyer premiums, taxes, payment deadlines, inspection, condition and warranty provisions, removal, shipping, storage, and title-transfer requirements before bidders commit. Correct errors through the authorized auction workflow and comply with law when changing, withdrawing, or reopening an auction.
  • Do not list stolen, counterfeit, unlawfully unsafe, sanctioned, infringing, or otherwise unlawful items. Restricted goods may be listed only if both the law and applicable marketplace or provider restrictions permit the sale and all required safeguards are in place.
  • Manage staff permissions, bidder communications, registrations, invoice review, fulfillment, settlement, and required records within your company scope. A seller's commercial obligations remain its own unless an applicable signed agreement expressly assigns them elsewhere.

Payments, fees, and escrow responsibilities

Your company receives the buyer premiums charged on its sales. GatorBid bills agreed platform fees separately. Your approved marketplace agreement and fee schedule determine platform fees, billing, settlement timing, taxes, and allocation of chargeback responsibilities. Onboarding approval or a staff invitation does not replace acceptance of any required finance or payment-provider agreement.

Your company pays the processing costs for its invoice payments, including payments from pooled escrow. GatorBid deducts the confirmed processing cost from sale proceeds and holds proceeds briefly while that cost is confirmed. These costs remain your company's responsibility after refunds or lost disputes; amounts that cannot be recovered from the original transfer are deducted from future proceeds and shown in company finance records. This deduction does not increase the buyer's invoice amount.

GatorBid administers the bidder's reusable escrow pool across eligible auctions. Companies set their auction requirements and manage their own invoices; they do not own or directly control the bidder's whole pool. Company staff must use the authorized payment and refund workflows and must not promise access to other companies' funding or unapproved releases, captures, or refunds.

Saving payment information, approving registration, or accepting these terms does not supply a bidder's separate charge or escrow-capture permission. Apply only disclosed charges and respect the payment authorization and review requirements shown in the marketplace.

Bidder information and imported records

Use bidder information only within your authorized scope for legitimate auction administration, support, fulfillment, required records, and other lawfully disclosed purposes. Protect it, limit staff access, and do not sell it or use it for undisclosed advertising. Obtain any permission required for separate marketing and honor applicable communication choices.

Before importing bidder or consignor information, establish your lawful authority to supply it and provide any required notices. Do not represent acceptance of another service's terms as acceptance of GatorBid's terms. Maintain accurate records and cooperate with corrections, privacy requests, and security investigations. Notify marketplace support promptly of suspected unauthorized access or disclosure.

Your company is responsible for its own privacy notices and handling of exported or independently held records. These terms do not replace a separate data-processing agreement when the parties' roles and applicable law require one.

Content license

You retain your rights in content you provide and confirm you have authority to grant this license. You grant GatorBid a nonexclusive license, without an additional content-license fee, to host, process, resize, display, index, transmit, and distribute that content as needed to operate and promote your marketplace listings, and to preserve records for support, compliance, audits, and disputes. GatorBid may use its service providers to perform those functions.

Removing a listing ends future public use except where continued display is authorized by applicable auction or archive settings. It does not require deletion of transaction, legal, or audit records that must be retained, or material already lawfully supplied to participants. Do not upload material you are not entitled to license.

Changes and questions

Versioned acceptance and changes follow the Terms of Use. This revision updates the marketplace trade name to GatorBid; company, staff, payment, escrow, and content responsibilities remain unchanged. Contact support@clarkauctions.com about onboarding, company access, or a marketplace agreement.
